Please review these Terms carefully: the Terms constitute and create a binding legal contract between You and Viventis Events OÜ, effective as of your date of first access or use (as defined herein), that applies to and regulates your use of all services operated by Viventis Events OÜ, unless indicated otherwise.
You acknowledge that, regardless of your location, language, nationality, and affiliation, you understand and agree to the Terms in the language in which they are written. Finally, upon agreeing to these Terms hereunder, you also represent that, when representing another party, company, or organization, or otherwise using the Site or services on its behalf, you have the authority to accept these terms on behalf of such party, company, or organization. In these cases, You will be deemed to have agreed to the Terms on behalf of such other party, and they will be bound by the Terms.
1. Use of the Site.
· Eligibility: WorldDanceNews.com is open to users of all ages.
· License: Viventis Events OÜ grants You a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the Site in such territories where it is available, solely for personal, non-commercial purposes, and subject to continuous compliance with these Terms.
· Prohibited Conduct. Under these Terms and license, You are not allowed, without Viventis Events OÜ’s express prior written consent, to, directly or indirectly:
o View and interact with content, documents, files, or the Site in general for commercial purposes, including but not limited to redistribution or download of any materials contained or showed therein;
o Distribute, display, reproduce, or create derivatives works of any materials contained in or showed on the Site, as well as of the Site itself or portions thereof, including for non-commercial purposes;
o Modify or decompile any portion of the Site;
o Make any unauthorized commercial or non-commercial use of the Site;
o Use or perform any kind of data mining, bots, or data gathering and extraction tools;
o Reproduce, duplicate, copy, sell, resell, or otherwise exploit for any purpose whatsoever, whether commercial or non-commercial, the Site or any portions thereof;
o Use any meta tags or any other “hidden text” utilizing Viventis Events OÜ’s trademarks, service marks, brand names, and other commercial identifiers; and
o Engaging in any unlawful and offensive activity, or otherwise act or use the Site in a way that is illegal, unlawful, disrespectful, or otherwise harmful for the reputation of Viventis Events OÜ or WorldDanceNews.com.
o Any unauthorized uses, whether listed herein or otherwise, shall be cause for the automatic termination, without further notice, of any permissions and/or licenses granted by us to you under these Terms.
· User-Generated Content: Users may share, comment on, or upload content including but not limited to text comments, media, photographs, videos, and other materials (the “Content”) onto or through the Site. While You retain ownership of any rights (including intellectual property rights) in the Content, you acknowledge that, by sharing, commenting on, or uploading any Content, You grant Viventis Events OÜ a perpetual, worldwide, royalty-free, transferable, sublicensable, irrevocable, non-exclusive license to host, modify, run, translate, reproduce, display, distribute, create derivative works of, and otherwise use such Content, including Content that shows your likeness, appearance, or voice. By sharing, commenting on, or uploading any Content, You represent that you have all required rights and permissions to use and upload the Content to WorldDanceNews.com, and acknowledge that You are responsible for ensuring that Content does not violate third-party rights. Viventis Events OÜ disclaims all liability arising out of or in connection with any violation you may commit in relation to Content you upload to WorldDanceNews.com.
· Site Availability: While Viventis Events OÜ is committed to provide You with the best quality in our services and Site, Viventis Events OÜ acknowledges that there may be Site downtime or interruptions in availability. Accordingly, Viventis Events OÜ will not liable to You for any such interruptions and/or downtime, and makes no representation as to level-of-service as well as to the continuity of the Site’s operations and function.
· User Responsibilities: You are solely and entirely responsible for safeguarding your account credentials and maintaining your information updated. You also acknowledge that you will be solely responsible for accessing or using third-party applications, websites, and resources which may appear on the Site, including but not limited through a direct link. You agree to exercise caution and open any such links at your own risk. Viventis Events OÜ disclaims all responsibility in connection with third-party links, websites, products, applications, or services.
2. Event Registration.
· Registration Requirements: To register for events, You must provide accurate, current information. You are responsible for ensuring the information is correct and accurate, and for keeping the information updated.
· Event Agreement: By registering, You acknowledge that you have read, understood, and agreed to each event's specific terms, as set by the organizers of such events. These third-party terms will be separate from and independent of these Terms, and Viventis Events OÜ will not be responsible for its contents and provisions.
· Event Changes or Cancellations: In concert with event organizers, we may have, and thus reserve the right, to modify or cancel events. In such cases, we will try to inform You of any significant changes. Viventis Events OÜ will not be liable for any related costs or inconvenience due to modification or cancellation of events.
3. Payment and Billing.
· Payment Processing: Payments are processed exclusively through Stripe and PayPal. Viventis Events OÜ disclaims all liability for issues, delays, and failures arising from payment processing by third-party providers. Please refer to their terms for details.
· Payment Confirmation: Successful payments will be confirmed via email.
· Refunds: Refunds may be available subject to each event’s specific refund policy as set by the event organizer. Viventis Events OÜ reserves the right to refuse any refund where inconsistent with or inapplicable under the relevant event policy or event terms as set by the event organizer.
4. Privacy and Data Protection.
· Data Collection: Please refer to our Privacy Policy regarding our practices on data collection and processing. You can find the Privacy Policy here https://www.worlddancenews.com/privacy-policy/; the Privacy Policy is incorporated by reference herein and is deemed part of the Terms.
· Data Security: We do not collect payment information, which is managed by third-party processors.
6. Intellectual Property.
· Ownership: All right, title, and interest in and to the Site, Viventis Events OÜ’s intellectual property rights, and any intellectual property arising out of or relating to WorldDanceNews.com are and will remain the sole and exclusive property of Viventis Events OÜ. Except as otherwise expressly stated herein, nothing in these Terms constitutes or will be construed as conferring to you any rights in and to Viventis Events OÜ’s trademarks, trade names, service marks, brand names, copyrights, and other intellectual property. You agree that the Site may contain material which is proprietary and otherwise protected by applicable copyright, trademark, patent, and other laws, and that, except as otherwise expressly provided by the owner or rights holder, you will not copy, modify, rent, lease, loan, sell, distribute, repost, publicly display, share, use, or create derivative works based on the Site or the Content, in whole or in part, directly or indirectly, outside the scope of license and permission granted herein.
7. Disclaimers and Limitations of Liability.
· No Warranties: The Site is provided “as is,” “as available,” and with all faults. To the maximum extent not prohibited under applicable law, Viventis Events OÜ disclaims all warranties and conditions of any kind, whether express, implied, statutory, or otherwise, with respect to the Site. Without limiting the foregoing, Viventis Events OÜ provides no warranty and makes no representation of any kind that the Site will meet your requirements, achieve any intended results, be compatible or work with any specific software or hardware you may use, operate without interruption, meet any performance or reliability standards, be error-free, or that any errors or defects can or will be corrected. No advice or information, whether oral or written, obtain by You from Viventis Events OÜ or through the Site will constitute or be construed as creating any warranty not expressly stated herein.
· Limitation of Liability: Except as otherwise set forth herein, Viventis Events OÜ and its subsidiaries, parents, affiliates, officers, directors, agents, and employees, as well as their successors and assigns, shall not be liable for any damages or other liability arising from negligent actions or inactions arising from or related to any loss due to personal injury, property damage, any loss of profits, savings, or goodwill, loss, corruption, or inaccuracy of data, Content, or information, or any indirect, punitive, exemplary, incidental, special, consequential or other damages, loss, cost, expense that may result from Your access, use, and interaction with the Site.
8. Termination. We reserve the right to prevent, limit, suspend, or terminate Your access to the Site at any time without prior notice. Upon termination of Your access, these Terms will be considered terminated, except that the remaining provisions will retain their full force and effect: 6, 7, 8, 9, 10, 14, 15, 17, 18, 19, 20, and 21.
9. Governing Law. The provisions, applicability, and validity of these Terms are governed by the laws of Estonia, with the exception of conflicts of laws rules and of such laws and provisions that would exclude their applicability.
10. Dispute Resolution. You and Viventis Events OÜ agree to submit any action, claim, or dispute which arises out of or in connection with these Terms, including but not limited to their provisions, validity, and applicability, to arbitration. Arbitration will be held in Estonia and will be final and binding upon You and Viventis Events OÜ. You and Viventis Events OÜ will appoint one (1) arbitrator each and then appoint a chairman to serve as third arbitrator. In the event the Parties fail to commence, continue, or abide by the decision resulting from the arbitration proceedings, the Parties agree to submit any action, claim, dispute, and lawsuit, including but not limited to actions arising out or in connection with the applicability, enforceability, and validity of these Terms and of any provision herein, to the courts located in Estonia.
11. Changes and Modifications of the Terms. You acknowledge that Viventis Events OÜ reserves the right, from time to time, to update or modify these Terms. To the extent that Viventis Events OÜ has the means to contact you, you will be notified of any significant changes. You acknowledge that, in the event of new, changed, or updated Terms, you will be bound by such new Terms if you continue to use our services after being notified about the changes. In any case, please make sure to check these Terms periodically to remain apprised of any update.
12. Event-Specific Terms. Terms such as age limits, levels, dress codes, etc., are set by the organizers of each event. WorldDanceNews.com is not responsible for these decisions.
13. Force Majeure. We may not be able to fulfill our obligations in cases of force majeure, including natural disasters, pandemics, or other uncontrollable events.
14. Indemnification. Users agree to indemnify and hold WorldDanceNews.com harmless from any claims arising from their use of the Site. All claims should be directed to the event organizer, as WDN is only an intermediary.
15. Proprietary Assets. Users may not use any logos, branding, or other proprietary assets of or related to WorldDanceNews.com and Viventis Events OÜ without our prior written consent, and subject in any case to continuous compliance with these Terms as well as any additional instructions, licenses, or guidelines we may provide.
16. Policy Compliance. As part of these Terms, you agree to comply with and be legally bound by all policies that constitute part of these Terms, including but not limited to our Privacy Policy.
17. Waiver. Failure by Viventis Events OÜ to enforce any of the provisions of these Terms will not constitute nor be construed as a waiver of the relevant right or provision.
18. Severability. In the event any portion, provision, or clause of these Terms be held unenforceable, invalid, void, or otherwise inoperable, such clause will be deemed excluded from the Terms, while the remainder of the provisions of these Terms will retain their full force and effect.
19. Assignment. You may not assign or transfer any rights or obligations arising out of these Terms to any other party, without Viventis Events OÜ’s prior written consent, and acknowledge that Viventis Events OÜ may freely assign, delegate, or transfer any rights and obligations under these Terms to any party of their choosing.
20. Third-Party Beneficiary. These terms do not and will not confer or be construed as conferring any rights, claims, or causes of action to any party other than You, and expressly exclude the presence of third-party beneficiaries.
21. Entire Agreement. These Terms, along with any document incorporated by reference herein, constitute the entire agreement between You and Viventis Events OÜ as to the subject matter hereof. You acknowledge that, except as otherwise expressly stated by Viventis Events OÜ in writing, any prior agreement, arrangement, or understanding, whether oral or written, which You may have with Viventis Events OÜ will be considered superseded and of no legal effect to the extent their terms are not incorporated herein.
